Terms of Business
These terms govern the supply of the Magic Auth platform by TS Robotics Limited (company registered in England and Wales), to the business that requests access ("Customer", "you"). By requesting access, integrating an API key, or using the platform, you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
1. The service
Magic Auth is a verified-identity platform delivered as four products, Verify, Sign, Authenticate and Vault, behind a single REST API and a co-branded application. Access is issued on request during onboarding; the platform is not self-serve. We may improve, add to, or change features, provided we do not materially reduce the core service during a paid term.
2. Access and API keys
We issue API keys scoped to your workspace and products. Keys are confidential credentials. You are responsible for keeping them secret, for all activity under your keys, and for notifying us promptly of any suspected compromise. Every mutating API call must carry an idempotency key as documented.
3. Acceptable use
You agree not to, and not to permit any user to:
- use the platform unlawfully, or to verify or sign on behalf of a person without a lawful basis and any required consent;
- attempt to bypass tenant isolation, access another customer's data, or probe, scan or test the security of the platform except under an agreed programme;
- reverse engineer, resell, or provide the platform to a third party except as an integrated feature of your own product;
- submit content you have no right to submit, or use the service to build a competing identity database.
4. Your responsibilities as controller
Where you use Magic Auth to process your own customers' data, you are the data controller. You are responsible for the lawful basis, for any consent, including explicit consent for biometric checks, and for giving your customers the required privacy information. We process that data as your processor under the data processing terms referenced in our Privacy Policy.
5. Fees and billing
Fees are as agreed in your order or pricing schedule and are metered per product usage. Billing is processed through Stripe. Unless agreed otherwise, fees are payable in advance or on the agreed cycle, are exclusive of VAT, and late amounts may accrue interest and lead to suspension. Your portal reconciles usage to your invoice.
6. Intellectual property
We and our licensors own the platform, the software, the Magic Auth brand and all related intellectual property. You own your data and your brand. You grant us the limited licence needed to operate the service and to display your brand within your co-branded flows. We grant you a non-exclusive, non-transferable right to use the platform during the term.
7. Warranties and disclaimers
We will provide the service with reasonable skill and care. Except as expressly stated, the platform is provided "as is" and we do not warrant that it is uninterrupted or error-free, or that an identity check will detect every fraud. Verify produces an assurance decision to a defined standard; it is a strong signal, not a guarantee, and you remain responsible for your own risk decisions.
8. Liability
Nothing limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue or data, and each party's total liability in any twelve-month period is capped at the fees paid or payable by you for the service in that period.
9. Confidentiality
Each party will keep the other's confidential information secret and use it only to perform these terms, excluding information that is public, independently developed, or required to be disclosed by law.
10. Term and termination
These terms run for your subscription term and renew as agreed. Either party may terminate for material breach not remedied within 30 days of notice, or immediately for insolvency. On termination we stop processing and, on request, return or delete your data, subject to any retention required by law. Clauses that by nature survive, including confidentiality, intellectual property and liability, continue.
11. Changes to these terms
We may update these terms; material changes take effect on notice to account administrators or on your next renewal. Continued use after the effective date is acceptance.
12. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
